Resumo / Abstract: The characteristics of a research agreement between industry and science are the result of an optimal contract between the parties. Once establishing the agreement, parties evaluate the positive efficiency gains of the collaboration against the divergent research goals. The research project may be used as incentive tool to minimize informational problems. However, the outcome varies according to the structure of governance. The presentation will focus on the conceptual framework deriving the results and on its empirical implications for patented inventions.
